These Membership Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or the "Member") and Type 2 Labs, Inc., a Delaware corporation ("Type 2 Labs," "we," "us," or "our"), regarding your membership in the Lunar Exploration Club (the "Club"), a paid membership program associated with Type 2 Labs' effort to send a chat-controlled rover to the Moon (the "Mission").
PLEASE READ THESE TERMS CAREFULLY BEFORE JOINING THE CLUB
By checking the consent box at checkout and joining the Club, you acknowledge that you have read, understood, and agree to be bound by these Terms, including the automatic renewal described in Section 5. If you do not agree with these Terms, you must not join the Club. A Club membership is a purchase of a membership, collectible items, community access, and recognition. The Mission itself is not certain. The recognition described in Section 3 applies to whatever rovers Type 2 Labs actually flies and whatever streams it actually produces, and Type 2 Labs makes no promise that any rover will launch, reach the Moon, or operate, or that any stream will be produced. These Terms govern your Club membership only; they do not govern any other Type 2 Labs product or service, including the Pilot Club Waitlist or any future rover control time, each of which has or will have its own terms.

The Club is only available to residents of the US, UK, and Canada, unless otherwise prohibited. Physical Member Cards and the initial package ship to addresses in the United States, United Kingdom, and Canada; ongoing merchandise drops currently ship to United States addresses only (see Section 6).
Paid membership is a subscription offered in tiers, each with its own card material and price, billed monthly or yearly as selected at checkout. The available tiers, materials, and prices are as set forth on Type 2 Labs' website and may be updated from time to time in Type 2 Labs' sole discretion.

Ongoing benefits may be added, modified, or discontinued at any time in Type 2 Labs' sole discretion; no specific benefit is assured to continue, and statements about future benefits describe possibilities, not commitments. Specific merchandise items are examples only and may change. Discord is a third-party service governed by its own terms; roles require a Discord account, may be assigned manually with delay, and may be revoked upon cancellation, non-renewal, or violation of community rules.
Members may be invited to vote on or suggest certain decisions (for example, names, stream locations, or merchandise). All such input is advisory and non-binding. Type 2 Labs retains sole decision-making authority, and participation confers no control, ownership, or governance rights.
As part of the initial package, your name or chosen handle will be included in a digital roster stored on data storage carried aboard any rover Type 2 Labs sends to the Moon. Roster inclusion, once earned, is not revoked if you later cancel; the roster used for a given rover is fixed as of a cutoff date we select before that rover's flight.
While your membership is active, you may opt in to having your name or handle listed in the credits of streams and broadcasts Type 2 Labs produces. Credits listings end when your membership ends.
Recognition under this Section 3 applies only to rovers Type 2 Labs actually flies and streams Type 2 Labs actually produces — however many, or few, those turn out to be. Type 2 Labs makes no promise that any rover will launch, reach the Moon, or operate, that any stream will be produced, or that recognition will take any particular form, placement, or prominence. If the Mission is delayed, modified, or discontinued, or no rover or stream comes to exist, Type 2 Labs has no obligation to provide substitute recognition and no refund is owed on that basis.
Names and handles submitted for recognition are subject to review. Type 2 Labs may decline or remove any name or handle that is infringing, deceptive, offensive, or otherwise objectionable, in its sole discretion.
A Club membership is a purchase of a membership, collectible items, community access, and recognition. It is NOT an investment, security, or equity interest in Type 2 Labs. You have no ownership rights, profit-sharing rights, governance rights, or financial interest in Type 2 Labs or its projects, and you will not receive any financial return. Membership fees will be used at Type 2 Labs' sole discretion to fund development, operations, and related activities; Type 2 Labs has no obligation to use funds in any particular manner.
Paid memberships are subscriptions that automatically renew at the monthly or yearly interval you select at checkout. By enrolling, you authorize Type 2 Labs, through its payment processor, to charge your payment method the applicable fee at signup and automatically at the start of each renewal period, at the then-current price, until you cancel.
Membership fees are non-refundable except as required by applicable law or as expressly stated in these Terms (see Section 6(e) for Card remedies). Cancellation under Section 5 stops future charges but does not entitle you to a refund of fees already paid. Nothing in these Terms limits any non-waivable rights you may have under applicable consumer-protection law.
Payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe's terms and authorize the charges described in these Terms. Type 2 Labs does not store full payment card details. You are responsible for keeping your payment information current. Initiating a chargeback or payment dispute may result in immediate termination of your membership and forfeiture of membership benefits, without refund.
The Mission is an experimental venture with significant technical risk. TYPE 2 LABS MAKES NO ASSURANCES, WARRANTIES, OR REPRESENTATIONS ABOUT: (a) whether the Mission will be completed; (b) the timeline for any milestone or launch, including any stated target window; (c) the number of rovers flown or streams produced, if any; (d) the technical feasibility or success of the Mission; or (e) any outcome or result of the Mission. The Mission may be delayed, modified, or discontinued at any time for any reason. Membership does not entitle you to any Mission result or outcome, and no Mission delay, change, or discontinuation entitles you to a refund.
You agree that you will not use the Club to:
Your privacy is important to us. Our collection, use, and disclosure of your personal information (including your email and shipping address) is governed by our Privacy Policy, which is incorporated by reference into these Terms. By joining the Club, you consent to the collection, use, and disclosure of your personal information in accordance with our Privacy Policy. Payment information is handled by our payment processor.
All content, features, designs, functionality, software, images, text, graphics, logos, trademarks, and any other materials related to the Club, the Card, and the Mission (the "Type 2 Labs IP") are owned by Type 2 Labs. Your membership grants you personal ownership of the physical items you receive, and a limited, non-exclusive, non-transferable, revocable license to display them for personal, non-commercial purposes, but no other rights to the Type 2 Labs IP. You may not copy, modify, distribute, sell, or lease any part of the Type 2 Labs IP, or use the Club or the Card for any commercial purpose without our express written consent.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE CLUB AND THE CARD ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TYPE 2 LABS, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR MEMBERSHIP.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE CLUB SHALL NOT EXCEED THE AMOUNTS YOU PAID TO TYPE 2 LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Type 2 Labs, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
You may cancel your membership at any time as described in Section 5.
We may terminate or suspend your membership immediately, without prior notice or liability and without refund, for breach of these Terms, violation of applicable law, or fraudulent, abusive, or illegal activity. We may also limit quantities, refuse service, or cancel orders at our discretion (with a refund of amounts paid for a cancelled order).
Upon termination for cause, all rights granted to you under these Terms immediately cease, including any recognition under Section 3, except those that survive under Section 18.9.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. The Federal Arbitration Act governs the arbitration provisions below.
Any dispute arising under or related to these Terms or the Club shall be resolved by final and binding arbitration administered by JAMS under its Comprehensive Arbitration Rules. The arbitration shall be conducted in Denver, Colorado, or via videoconference.
ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS OF FIRST ACCEPTING THESE TERMS BY EMAILING SUPPORT@TYPE2LABS.CO WITH SUBJECT LINE "ARBITRATION OPT-OUT."
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Type 2 Labs relating to the Club and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
Type 2 Labs reserves the right to modify these Terms at any time. Changes will be effective upon posting to type2labs.co. Continued membership after changes constitutes acceptance of the modified Terms.
No waiver of any provision of these Terms will be effective unless in writing and signed by an authorized representative of Type 2 Labs. The waiver by either party of a breach of any provision of these Terms shall not operate or be construed as a waiver of any other or subsequent breach.
If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck from these Terms and the remaining provisions will remain in full force and effect.
All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows: If to Type 2 Labs, to the address provided on our website; if to you, to the email address you provided to us.
You may not assign or transfer these Terms or your membership, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction.
We will not be liable for any delay or failure to perform our obligations under these Terms (including production or delivery of Cards) due to any cause beyond our reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, lockouts, supply-chain disruptions, vendor failures, or shortages of transportation, fuel, energy, labor, or materials.
You consent to receive communications from us electronically, including transactional communications related to the Club (such as renewal reminders), informational communications about our services, and legal notices and updates to these Terms or other policies. You may opt out of non-transactional communications at any time.
The following sections shall survive any expiration or termination of these Terms: Sections 3.1, 4, 12, 13, 14, 15, 17, and 18.
