Lunar Exploration Club Terms

1. Acceptance of Terms

By purchasing a membership or signing up for the Lunar Exploration Club ("the Club"), you agree to these Terms of Service ("Terms"). If you do not agree, do not join. These Terms form a binding agreement between you and Type 2 Labs, Inc. ("Company," "we," "us," "our").

2. Definitions

• Member — an individual with an active membership.
• Membership — a paid annual subscription (or a free membership, where offered) in the Club.
• Card — the physical metal membership card engraved with your member number.
• Member Number — the unique number assigned to a paid member (see Section 6).
• Level — a paid membership tier, named for its Card metal.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to join the Club. Memberships are for personal, non-commercial use.

4. Description of the Membership

The Lunar Exploration Club is a paid membership program supporting the Type 2 Labs moon rover mission. Paid membership is an annual subscription offered in Levels named for the Card's metal (for example, Aluminum, Copper, Titanium, and Carbon Fiber), each at its own annual price. A paid membership includes:

• A physical metal Card, engraved with your unique Member Number, mailed to you
• A unique Member Number (see Section 6)
• Members-only Discord roles — your Level and a founding role (see Section 11)
• Founding-member recognition for early members

A free membership may also be offered, which provides community access and the ability to vote in advisory polls but does not include a Card or a Member Number.

Additional perks may be added, changed, or discontinued in the future at the Company's sole discretion and may or may not apply to existing members (see Section 12).

5. Nature of Transaction

A Club membership is a purchase of a membership, a collectible Card, and recognition supporting the Company. It is NOT an investment, security, or equity interest in the Company. You have no ownership rights, profit-sharing rights, governance rights, or financial interest in the Company or its projects, and you will not receive any financial returns.

6. Member Numbers

Member Numbers are assigned sequentially to paid members at signup and are engraved on the Card. Your number reflects the order in which you joined. Numbers 1–100 are a limited founding cohort; once claimed they are not offered again, and availability is not guaranteed.

Certain numbers are reserved by the Company and are not available through standard signup. Reserved numbers may be offered separately in the future at the Company's discretion.

Each Member Number represents one person and is non-transferable; it cannot be exchanged, sold, or reassigned. The Company reserves the right to manage number assignment, and to remove or merge duplicate entries, at its sole discretion.

7. Membership Card — Shipping & Fulfillment

• Paid membership includes one physical metal Card, produced and fulfilled by a third-party vendor.
• Shipping is available to United States addresses only at this time. We do not ship internationally.
• You are responsible for providing a complete and accurate shipping address and for keeping it current. The Company is not responsible for non-delivery, delay, or loss resulting from an inaccurate, incomplete, or out-of-date address.
• Production and delivery times are estimates only and may vary; we do not guarantee a delivery date, and delays (including third-party vendor or supply delays) may occur.
• Card material, finish, and design may vary and are subject to availability; the Company may substitute a comparable material or finish of equivalent value.
• If a shipment is returned as undeliverable, we will attempt to contact you; reshipment may require an updated address and a reshipping fee.
• For a Card that arrives lost, damaged, defective, or mis-engraved, contact support@type2labs.co within 30 days of delivery (or expected delivery); we will replace it or, at our discretion, refund the affected Card.
• Risk of loss passes to you upon the Card's delivery to the carrier; title passes upon delivery to you.

8. Membership Term, Auto-Renewal & Cancellation

Paid memberships are annual subscriptions that automatically renew. By enrolling, you authorize the Company, through its payment processor, to charge your payment method the applicable annual fee at signup and automatically on each subsequent anniversary, at the then-current price, until you cancel.

• Renewal reminder: we will send a reminder to your email on file before each annual renewal.
• Cancellation: you may cancel at any time, online, through the Stripe billing portal, or by emailing support@type2labs.co. To avoid the next charge, you must cancel before the renewal date.
• Effect of cancellation: cancellation stops future charges and takes effect at the end of your current paid term. You retain access through the term you have paid for. Partial-term refunds are not provided.
• What you keep: upon cancellation or non-renewal, you keep your Member Number and any Card already received. Members-only perks (including Discord roles and any future member benefits) end at the close of your paid term.
• Price changes: the Company may change the renewal price and will notify you before the change takes effect; you may cancel before then.
• Failed payments: if a renewal charge fails, we may retry it and may suspend or terminate the membership and associated perks.

9. Refunds

Membership fees are non-refundable except as required by law or as expressly stated in these Terms. Because each Card is custom-engraved with your unique Member Number, Cards are non-returnable and non-refundable except where a Card arrives defective, damaged, or materially not as described (see Section 7).

To request a remedy for a defective or damaged Card, email support@type2labs.co within 30 days. Nothing in these Terms limits any non-waivable rights you may have under applicable consumer-protection law.

10. Payment Processing

Payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe's terms and authorize the charges described in these Terms. The Company does not store full payment card details. You are responsible for keeping your payment information current.

11. Discord Roles & Community

While your membership is active, you are eligible for members-only Discord roles reflecting your Level and founding status. Roles require a Discord account and joining the official server, are assigned at the Company's discretion, and assignment may be manual and delayed.

Roles may be revoked upon cancellation, non-renewal, or violation of community rules. Discord is a third-party service governed by its own terms; the Company is not responsible for Discord's availability or actions.

12. Perks Subject to Change

Membership perks may be added, modified, or discontinued at any time at the Company's sole discretion. No specific perk is guaranteed to continue. Statements such as "more perks to come" describe possibilities, not commitments.

13. Member Input Is Advisory

Members may be invited to vote on or suggest certain decisions (for example, names, stream locations, or merchandise). All such input is advisory and non-binding. The Company retains sole decision-making authority, and participation confers no control, ownership, or governance rights.

14. Project Status and Disclaimers

Type 2 Labs is building a chat-controlled lunar rover. THE COMPANY MAKES NO GUARANTEES, WARRANTIES, OR REPRESENTATIONS ABOUT:

• Whether the project will be completed
• The timeline for any project milestone or launch (including any stated target window)
• The technical feasibility or success of the mission
• Any outcomes or results from the project

This is an experimental venture with significant technical risk. The project may be delayed, modified, or abandoned at any time for any reason. Membership does not entitle you to any mission result or outcome.

15. Use of Funds

Membership fees will be used at the Company's sole discretion to fund development, operations, and related activities. The Company has no obligation to use funds in any particular manner and retains full discretion over budget allocation.

16. Accounts and Display Information

• Accounts use passwordless email sign-in.
• You may purchase a membership without an account. To access account-based features and link your membership, sign in with the same email address used at checkout.
• The Company is not responsible for an inability to link a membership to an account caused by a mismatched email or other member error.
• If you opt into public recognition, your chosen display name or handle may be shown publicly.
• The Company may remove or modify display information that violates community standards or is otherwise objectionable.
• You are responsible for maintaining the confidentiality of access to your account and email.

17. Privacy

We collect and process personal information (including your email and shipping address) to provide the membership, as described in our Privacy Policy, which is incorporated by reference. Payment information is handled by our payment processor.

18. Intellectual Property

All Club names, logos, Card designs, and related materials are the property of the Company. Your membership grants you personal ownership of the physical Card you receive but does not grant any license or rights to the Company's intellectual property beyond personal, non-commercial display.

19. Taxes

Prices may exclude applicable sales or other taxes. You are responsible for any taxes associated with your membership.

20. Chargebacks

Initiating a chargeback or payment dispute may result in immediate termination of your membership and forfeiture of your Member Number and perks, without refund.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

The Company's total liability to you for any claims arising from these Terms or your membership shall not exceed the amount you paid to the Company in the preceding twelve months.

THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

THE COMPANY PROVIDES THE CLUB "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, EXCEPT AS REQUIRED BY LAW.

22. Indemnification

You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any rights of another party

23. Force Majeure

The Company is not liable for any failure or delay in performance (including production or delivery of Cards) caused by events beyond its reasonable control, including supply-chain disruptions, vendor failures, natural disasters, labor disputes, or acts of government.

24. General Provisions

• Assignment: the Company may assign these Terms; you may not assign your membership without the Company's consent.
• No waiver: the Company's failure to enforce any provision is not a waiver of it.
• Electronic communications: you consent to receive communications from the Company electronically, including by email.
• Right to refuse: the Company may limit quantities, refuse service, or cancel orders at its discretion (with a refund of amounts paid for a cancelled order).
• Survival: provisions that by their nature should survive termination (including Sections 5, 18, 21, 22, and 27) survive.

25. Modification of Terms

The Company reserves the right to modify these Terms at any time. Changes will be effective upon posting to type2labs.co. Continued membership after changes constitutes acceptance of the modified Terms.

26. Termination

The Company may suspend or terminate your membership at any time for violation of these Terms, with no refund. Upon termination, all rights granted to you under these Terms immediately cease, except those that survive under Section 24.

27. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Texas, without regard to conflict of law provisions.

Any dispute arising from these Terms shall be resolved through binding arbitration in Travis County, Texas under the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action.

28. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.

29. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Lunar Exploration Club and supersede all prior agreements and understandings.
